RE: Demand letter for reclaiming service fee based on Dutch law

Dear Sir/Madam, 

<<Naam>> hereby informs you as follows. 

Facts 

Tenant (huurder) as a consumer domiciled in the Netherlands used the Airbnb platform to conclude Tenancy Agreements with different landlords (verhuurders) (the Tenancy Agreements). These Tenancy Agreements are the result of services provided by Airbnb based on its agreements with both the landlords and Tenant. Based on these agreements, Airbnb amongst other things: i) presented the real estate of the landlords to Tenant; ii) forced parties to communicate and reach an agreement using the Airbnb platform; iii) facilitated and enabled the conclusion of the Tenancy Agreements between Tenant and the landlords; iv) facilitated payment by Tenant to the landlords and iv) charged both the landlords and Tenant a fee for the successful conclusion of the Tenancy Agreements. Therefore, Airbnb acted as an intermediary (bemiddelaar) (or even an agent (lasthebber)) for both the landlords and Tenant. 

Service fee 

As Airbnb must be well aware, under mandatory Dutch law an intermediary or agent is not entitled to charge any fee to the tenant if it also acts for the landlord and one of the parties is a consumer (articles 7:417 section 4 and 7:427 of the Dutch Civil Code). In violation of this mandatory stipulation, Airbnb charged Tenant, being a consumer domiciled in the Netherlands, the following service fee for its intermediary services in relation to the rent of real estate or a part thereof (see invoices attached):

Unduly payment by Tenant 

As there is no legal ground for charging this service fee, the total amount as stipulated above is unduly paid (onverschuldigd betaald) by Tenant to Airbnb. Moreover, charging this fee constitutes an unfair business-to-consumer commercial practice under Directive 2005/29/EC as implemented in article 6:193 et seq of the Dutch Civil Code. Only to the extent legally required for the service fees to be unduly paid, the stipulations on which the service fee was charged to Tenant are hereby annulled (vernietigd) pursuant to article 3:40 section 2 of the Dutch Civil Code. 

Demand 

Based on the above <<Naam>> summons Airbnb to refund the unduly paid amount within 14 days of the date of this letter by payment of Euro €<<Amount>> to <<Naam>>, <<IBAN>> with <<BANK>>, <<BIC>> with reference <<.Refference ID>> This letter serves as a formal notice of default. 

If Airbnb fails to pay said amount (in time), <<Naam>>, hereby holds Airbnb liable for any and all damages Tenant will suffer. In addition, the amount due shall then be increased with statutory interest and (extra-judicial) collection costs, being 15% of the amount due with a minimum of EUR 40, increased with VAT. 

Ignoring this letter may lead to Tenant starting proceedings against Airbnb. In this respect, Tenant reserves all its rights and defenses.

Stap 2: Stuur een reminder wanneer Airbnb het bedrag niet overmaakt

RE: Final demand letter for reclaiming service fee based on Dutch law 

Dear Sir/Madam, 

On or before 12 June 2019 <<Naam>> has sent Airbnb a demand letter with regard to the repayment of service fees by <<Naam>>  (Tenant). As charging these service fees to Tenant is in violation of mandatory Dutch consumer law, these service fees are paid unduly (onverschuldigd betaald) by Tenant to Airbnb. 

Unfortunately, <<Naam>> has received no response from Airbnb, nor has Airbnb complied to the demand for repayment. This leads to the following consequences: 

Default 

By its failure to comply to the demand for the repayment of the amount of EUR <<Bedrag>>, Airbnb is currently in default (in verzuim). Consequently, Airbnb is liable for any and all damages Tenant suffers. These damages inter alia consist of the (extra-judicial) collection costs, being 15% of the amount due with a minimum of EUR €40 and increased with 21% VAT. In addition, Airbnb is liable for the statutory interest on the amount as per <<Datum>> until the date of payment of the amount in full. 

Final demand 

Without any obligation to do so, Tenant grants Airbnb a final chance to refund the unduly paid amount voluntarily. Therefore, <<Naam>>, on behalf of Tenant, summons Airbnb to repay the total amount of EUR <<Amount verhoogd>> within 7 days of the date of this letter to <<Naam>>, IBAN: <<IBAN>> with <<Bank>>  (BIC:<<BIC>>) with reference <<Reference ID>>.

 

This amount comprises of the unduly paid amount of EUR<<Amount>> plus the extra judicial collections costs of EUR <<Amount verhoging>> (15% of the amount due with a minimum of EUR €40,00, increased with 21% VAT). 

Should Airbnb again fail to comply with this demand, Tenant has instructed <<Naam>> to start proceedings against Airbnb forthwith without any further notice. 

Tenant reserves all its rights and defenses.

Stap 3 en verder: Als Aibnb het bedrag nog niet vrijwillig betaalt, moet een procedure bij de kantonrechter begonnen worden

Het is voor ons helaas niet mogelijk in algemene termen duidelijk te maken hoe het proces vanaf hier verder zal gaan, omdat dit per geval kan verschillen.

Als Airbnb niet betaalt, zal Airbnb gedagvaard moeten worden in Ierland. Hiervoor moet u een procedure beginnen bij de rechtbank en een samenwerking aangaan met een deurwaarder. In deze dagvaarding zullen de specifieke omstandigheden van jouw zaak opgenomen moeten worden. Om fouten te voorkomen, verstrekken wij geen standaardbrief.
